1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Pivotstudio Corp. ("we," "us," or "our"), concerning your access to and use of the pivottalon.com website and the Pivot Talon SaaS platform (collectively, the "Service").

By accessing the Service, you confirm that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

2. User Accounts

  • Registration: You may be required to register with the Service using an email or social login (Google, GitHub, etc.). You agree to keep your password confidential and will be responsible for all use of your account and password.
  • Accuracy: You agree to provide true, accurate, current, and complete information about yourself as prompted by the Service's registration form.

3. Fees and Payment

  • Subscriptions: Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis (such as monthly or annually).
  • Payment Processors: We use third-party payment processors (Lemon Squeezy, Stripe, PortOne) to bill you. The processing of payments will be subject to the terms, conditions, and privacy policies of the Payment Processor in addition to these Terms.
  • Refunds: Refund requests are handled in accordance with our Refund Policy and applicable laws. Please contact support for specific inquiries.

4. Intellectual Property Rights

Unless otherwise indicated, the Service is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Service (collectively, the "Content") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

5. Prohibited Activities

You may not access or use the Service for any purpose other than that for which we make the Service available. Prohibited activities include, but are not limited to:

  • Systematically retrieving data or other content from the Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  • Using the Service for any illegal or unauthorized purpose.
  • Attempting to bypass any measures of the Service designed to prevent or restrict access to the Service, or any portion of the Service.

6. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Service, even if we have been advised of the possibility of such damages.

7. Governing Law

These Terms shall be governed by and defined following the laws of the Republic of Korea. Pivotstudio Corp. and yourself irrevocably consent that the courts of the Republic of Korea shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
